Terms of sale
These terms apply to every quote and every sale by Wall Jet (KvK 42029157) under the WallJet brand.
1. Who these terms are for
1.1 We sell to businesses only. By asking for a quote you confirm that you act for your trade, business or profession. 1.2 Your own purchase terms do not apply unless we accept them in writing.
2. Quotes and the contract
2.1 Prices on our website are an invitation to request a quote, not an offer. 2.2 Our written quote is valid for 30 days and states the machine, its specification, delivery, lead time and the total price. 2.3 The contract is formed when you accept the quote in writing and we receive the deposit.
3. Prices and VAT
3.1 All prices are in euro and exclude VAT. 3.2 Dutch VAT is added for delivery in the Netherlands. For delivery to a business in another EU country with a valid VAT number, we invoice with VAT reverse charged. For delivery outside the EU, import duties and taxes in the country of arrival are for your account unless the quote says otherwise.
4. Payment
4.1 You pay 50% of the total as a deposit on acceptance of the quote. 4.2 Before delivery we record a video of your machine printing a design you supply. You pay the remaining 50% within 7 days after you approve that video. 4.3 If the test print does not meet the specification in the quote, we correct it and record a new video at our cost. 4.4 Payment is by bank transfer to the account on our invoice.
5. Delivery and risk
5.1 We deliver to the business address on the quote. 5.2 The lead time on the quote is our best estimate; we confirm the delivery date with you before we ask for the balance. 5.3 Risk in the goods passes to you on delivery at your address. 5.4 You check the delivery on arrival and note visible transport damage on the delivery note.
6. Ownership
The goods remain our property until you have paid the total price in full.
7. CE marking and documents
Every machine we deliver carries CE marking and comes with an EU Declaration of Conformity and a user manual. You use the machine in line with that manual.
8. Warranty
8.1 We give 24 months warranty on parts from the delivery date. Within that period we replace a part that fails through a defect in material or manufacture. 8.2 The warranty does not cover wear parts (including printheads, ink dampers, wipers, capping parts and filters), consumables, damage from use outside the manual, from inks or parts that do not meet the specification in the manual, from transport you arrange, or from repairs by others. 8.3 We may ask you to send the part back, or to send photos or video, before we replace it.
9. Complaints
Tell us about a defect in writing within 14 days after you find it, with photos or video. We answer within 5 business days.
10. Liability
10.1 Our total liability under a contract is limited to the amount you paid under that contract. 10.2 We are not liable for indirect or consequential loss, including lost profit, lost orders or downtime. 10.3 These limits do not apply to damage caused by our intent or gross negligence.
11. Designs and content
You are responsible for having the rights to every image you print. Designs we make for you as part of a launch kit become yours once the contract is paid in full.
12. Launch kit and social media services
12.1 Where a quote includes a launch kit or social media service, the quote describes what is delivered. 12.2 You approve content before we publish it on your accounts. 12.3 The social media service ends after the period stated on the quote, without notice and without renewal.
13. Force majeure
We are not in default when we cannot perform because of events outside our control, such as transport disruption, export or customs measures, strikes or supplier failure. We tell you as soon as we know, and either party may end the contract if the delay is longer than 90 days; we then refund what you paid for goods not delivered.
14. Law and courts
Dutch law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes go to the competent court in Oost-Brabant ('s-Hertogenbosch), The Netherlands.
